Delaware business entity search

Fees checked against the official fee schedule.

Short answer: search Delaware companies for free on the General Information Name Search, by name or file number. Forming an LLC costs $110, and keeping it on file averages $300 a year in state fees.

Delaware holds more than a million entities, many with no physical presence in the state, so its free search shows less than most. You get the name, file number, incorporation date, entity kind and registered agent. Status and tax standing are behind a paid lookup.

We copy the name, list the variations Delaware may treat as the same, and give you the official General Information Name Search link to confirm it.

  1. Search the General Information Name Search by entity name or file number; a captcha is required for each lookup.
  2. Status and tax standing are not free: a record search costs $50 per entity and a short-form certificate of good standing costs $50, so order the certificate when you need proof.
  3. Delaware matches names loosely. Names that differ only by punctuation or an entity ending are treated as the same.

Delaware Secretary of State Business Search

The Delaware Secretary of State business search is run by the Delaware Division of Corporations through its General Information Name Search. Related queries such as "Delaware SOS business search" reach the same free database. Search by name first, then reopen the record by its file number so you are reading one exact entity. The step-by-step instructions above walk through the screens.

Delaware Entity Search

An entity search of the Delaware business registry returns every registered type at once: domestic and foreign LLCs, corporations, partnerships and nonprofits. Read the status first, then the formation date and the registered agent. Because Delaware expects an annual LLC tax yearly, a lapsed filing usually shows up as a status change before the entity is dissolved.

Delaware Corporation Search

A corporation search uses the same index as LLCs, so filter by entity type if the name is common. Searches typed as "Delaware company search" land here too. The record shows whether it is a for-profit corporation or a nonprofit, and the entity types guide explains how each one appears. Corporations are formed by filing articles of incorporation, so the formation date on the record is the date those articles took effect.

Delaware LLC Search

Run the Delaware LLC search with the exact name, then note the file number. Forming a Delaware LLC costs $110 and the annual LLC tax is $300. Whether members appear depends on the filings; our LLC lookup guide covers what the state shows, and the business owner lookup covers what it does not. A state record never shows an EIN; use the EIN lookup for that.

Delaware Business Name Search

A Delaware business name search shows names already on file, not names the state will accept. Delaware lets you hold a name for 120 days for $75. The name claim guide lists the checks to run before you file, including trademarks and DBA names. Delaware trade names are filed with the Prothonotary of the county where the business operates.

Delaware Business License Search

A Delaware entity record is not a business license. Licenses come from the state board for a regulated trade or from the city or county where the business operates, so check those separately. The business verification checklist lists which official records to pull and in what order.

Why so many companies are Delaware companies

Delaware is home to well over a million entities, many with no office in the state. Founders and investors choose it for its Court of Chancery, which hears business disputes without juries, its large body of corporate case law, and the fact that LLC members and managers never appear in the public record. That privacy is also why a Delaware search tells you so little: name, file number, formation date, entity kind and registered agent.

What costs money in Delaware

Under the fee schedule revised August 1, 2026, an LLC costs $110 to form and $300 a year in flat tax, due June 1, with no annual report. Corporations file an annual report and franchise tax by March 1; the authorized shares method can produce a startling bill, which is why many startups recalculate using the assumed par value method. Checking status costs $50 per entity, and a short-form certificate of good standing costs $50. Delaware also has no public online UCC search; lien searches go through certified searchers, covered in the UCC lien search guide. A company formed in Delaware but operating in your state will normally register there too, so check both records.

Checking a Delaware company you are about to sign with

Because the free search shows so little, the practical check in Delaware is to order a short-form certificate of good standing for $50. It confirms the entity exists and has paid its franchise or LLC tax. If the company also operates in your state, its foreign registration there will show a local address and sometimes its officers. Many Delaware companies use a commercial registered agent in Wilmington, so the agent address tells you nothing about where the business actually works.

Before you rely on a Delaware result

  • The $300 LLC tax is due June 1 and a $200 penalty plus interest applies if it is late.
  • Delaware does not publish members or managers of LLCs, which is the main reason many holding companies form there.
  • Delaware has no free online UCC lien search. Official UCC searches are run by certified searchers listed by the Division of Corporations, for a fee.
